End User Licence Agreement

1. About this EULA

1.1This End User Licence Agreement (“EULA”) applies to every individual who uses the RDrive software, including the web portal, mobile apps, RPilot and the RKive application (together, the “Software”). By using the Software, you agree to this EULA. If you use the Software on behalf of an organisation, you confirm that you are authorised to do so, and the organisation is also bound.

1.2Most people use the Software because their organisation, or the organisation running the project they work on, has a licence from RDrive. That organisation’s agreement with RDrive is governed by the RDrive Licence Terms. If there is any conflict, the Licence Terms and any Order Form under them take precedence over this EULA.

1.3Use of RPilot and RPilot credits is also governed by the RDrive RPilot Terms.

1.4The Licence Terms and RPilot Terms are published at rdrive.io.

2. Definitions

2.1In this EULA:

  • “RDrive” means the RDrive company that licenses the Software to the organisation whose account or project you are using or, where there is none, HND Global Ltd.
  • “Organisation” means the organisation whose account or project you are using, and, where different, the organisation you work for.
  • “Content” means data, documents, drawings, photos, forms and other material you upload to or create in the Software.
  • “Administrator” means a person given administrator rights for an account or project in the Software.

3. Using the Software

3.1RDrive grants you a non-exclusive, non-transferable, revocable right to use the Software for the projects and purposes your Organisation has given you access to, in line with this EULA and any instructions from your Administrator.

3.2Your login is personal to you. Keep it confidential, do not share it, and tell your Administrator or RDrive straight away if you think someone else has used it.

3.3You must not:

  1. (a)copy, modify, sub-license, sell or distribute the Software;
  2. (b)reverse engineer, decompile or disassemble the Software, except as permitted by law;
  3. (c)access data or projects you have not been given access to, or try to bypass security, permissions or usage limits;
  4. (d)use automated tools to extract data from the Software, except through features RDrive provides for that purpose;
  5. (e)upload malicious code, or Content that is unlawful or that you do not have the right to use; or
  6. (f)use the Software unlawfully or to build a competing product.

4. Your content

4.1You are responsible for the Content you upload or create, and for making sure you have the right to use it.

4.2Content added to a project belongs to the organisation that controls that project, not to you or RDrive. That organisation and its Administrators can see, use, export and delete it, including after you leave the project.

4.3RDrive processes Content and personal data to provide the Software, as described in its privacy policy.

5. RKive

5.1RDrive may make a free version of the RKive application available, which you can use to download data you have access to. Paid RKive features are available only where your Organisation has licensed them.

5.2Any data or archive you download is stored on your own or your Organisation’s systems, and you and your Organisation are responsible for keeping it secure and for anyone you share it with.

5.3The RKive application, including any free version, is provided “as is”. RDrive may change or withdraw the free version at any time and does not guarantee that the application will continue to run on future devices or operating systems.

6. Support

6.1For help, contact your Administrator or RDrive’s support channels shown in the Software or on the RDrive website. The level of support available depends on your Organisation’s agreement with RDrive.

7. Disclaimer and liability

7.1As between you and RDrive, the Software is provided “as is”. RDrive does not promise that it will be uninterrupted or error-free. You are responsible for checking information in the Software, including anything produced by RPilot, before relying on it.

7.2To the fullest extent permitted by law, RDrive has no liability to you personally in connection with the Software. Any claim relating to the Software must be made by your Organisation under its agreement with RDrive.

7.3Nothing in this EULA limits liability that cannot be limited by law, such as liability for death or personal injury caused by negligence, or for fraud.

8. Suspension and ending access

8.1RDrive or your Administrator may suspend or remove your access at any time, including if you breach this EULA or if needed for security.

8.2Your access ends automatically when your Organisation’s licence ends or when your Organisation removes you. Clauses 4, 5.2, 7 and 9 continue after your access ends.

9. General

9.1RDrive may publish new versions of this EULA. Each version is published at its own dated web address and applies from its effective date. Continuing to use the Software after that date means you accept the new version.

9.2If any part of this EULA is found unenforceable, the rest continues to apply. A failure to enforce any part is not a waiver.

9.3If this EULA is translated, the English version prevails.

9.4This EULA is governed by English law, and the courts of England and Wales have exclusive jurisdiction, unless your Organisation’s agreement with RDrive provides otherwise.
